Overview

A private limited company is the structure most Indian businesses choose once they intend to raise money, take on partners or sign contracts of any size. It is incorporated under the Companies Act, 2013 and exists as a legal person in its own right — separate from the people who own it.

That separation is the whole point. The company owns its assets, carries its own liabilities and signs its own contracts. Shareholders risk only what they have put in, and the company carries on regardless of who joins or leaves. It is also the form investors expect: equity can be issued and transferred, which a proprietorship or partnership cannot do.

It asks more in return. A minimum of two shareholders and two directors, a registered office, annual filings with the Registrar of Companies, statutory registers and board meetings.
